1. Informal resolution
Before filing a claim, each party agrees to contact the other at [email protected] and attempt to resolve the dispute informally within 30 days.
2. Binding arbitration
Except for claims that qualify for small-claims court, all disputes will be finally and exclusively resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.
(i) Mode. Unless both parties agree otherwise, the arbitration will be conducted in English, on a documents-only basis or by video conference; no in-person appearance is required.
(ii) Seat / Venue. The seat of arbitration is Wilmington, Delaware, and the governing law of the arbitration clause is Delaware law.
(iii) Class-action waiver. Proceedings must be brought on an individual basis only; the arbitrator may not consolidate claims or preside over any form of representative or class action.
Judgment on the award may be entered in any court having jurisdiction. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misuse, or unauthorised disclosure of intellectual property or confidential information.
